Depends largely on what you want to use it for.
The downside is usually lower battery life and more prone to crashes/freezes
Upside is you can obviously obtain a lot of stuff that you normally need to pay for like games and software.
If its just to play music, watch videos and the occasional game i would not jailbreak...
Also is it a new Ipad 2? Definately dont jailbreak then you need the warranty!

Arkaine is correct, it really depends on what you have planned. It is neat to Jailbreak it because you can get access to a great deal of the App store apps without paying for them (shame on you for doing it though...I am a app developer myself), but more importantly it gives you access to a lot of neat apps that you can't even have if you don't jailbreak. For instance, there is an app that allows you to connect your iPad to your iPhone (or even your computer to your iPhone) and use the iPhone to connect to the web. This is kind of neat because if you have the iPad without a 3G network card then you can only connect to the web if you are on a WiFi network. But with this little app and an iPhone you can now have your iPad connect to the web using your iPhone as a go-between. Thus you can save money on your iPad purchase (cause you don't have to buy the 3G card) and you don't have to have two ATT (Verizon) accounts (one for the iPad and one for the iPhone). That is a pretty neat trick, but you can't do that unless you Jailbreak things.
Then again, you risk voiding your warranty and you risk having the device crash more and losing data and you have to work to actually jailbreak it to begin with. And if you don't really need all that extra stuff then why do it.
I used to jailbreak my devices, but now I just leave them as is. I don't do enough with it to have to deal with working so hard to keep the devices up to date and jailbroken. So, I leave them as normal.
